Restrictions on Use of the Platform and its Content

Any other forms of engagement with this platform, its software, and the Materials, such as, but not limited to redistribution, copying, alteration, publication, transmission, reproduction, presentation, amalgamation into a different platform, mirroring Pro-ID’s platform, or any other method of exploiting any of the Materials, partially or entirely, isn't sanctioned under this Limited License. Engaging in such actions might infringe upon one or more of Pro-ID’s intellectual property rights and is strictly forbidden without our prior explicit written consent. This is further bound by, but not limited to the subsequent constraints:

Intellectual Property Rights and Trademarks

Pro-ID unequivocally retains all Intellectual Property Rights in its Services, the Pro-ID System, and all materials supplied by Pro-ID in this context. All rights, title, and interest in the Services and all other materials supplied by Pro-ID, including any update, adaptation, translation, customization, or derivative work thereof, and all Intellectual Property Rights related to them will remain with Pro-ID or its licensors. Pro-ID holds the exclusive right, at its sole discretion, to alter, modify, introduce, or withdraw parts of the Services without prior notification to the Customer or their consent. Several names, logos, trademarks, trade names, service marks, content, visual facets, interactive elements, data, compilation, computer code, products, services, and other materials presented on the Services (“Pro-ID Materials”) are safeguarded by Intellectual Property Rights Laws, both within and beyond specific jurisdictions.

The Pro-ID service name, alongside other product and service names, and logos presented or displayed on the Service are either registered or unregistered trademarks of one or more entities of Pro-ID (collectively referred to as “Trade-Marks”). You are permitted to use the applicable Trademarks exclusively to identify yourself as our user, provided you abstain from, both currently and in the future, claiming any rights over the Trademarks, diluting the uniqueness of the Trademarks, or employing the Trademarks to malign or misrepresent us, our services, or products. No aspect of this platform should be interpreted to indirectly or directly grant you the use of a service mark or trademark showcased on the platform, whether it belongs to us or third-party providers, without obtaining our prior written approval.

Product Descriptions, Availability, Pricing, and Tax

Product Description: Pro-ID strives to ensure that product descriptions are as accurate as conceivable. Yet, we neither assert nor guarantee any kind, whether implied or expressed, about the accuracy, dependability, promptness, or entirety of any such data. We decline any responsibility for losses, regardless of their nature or cause, that arise directly or indirectly from the use or reliance upon this platform or any information it holds. Your exclusive recourse for a product not as portrayed is to return it in its pristine condition.

Product Availability: Pro-ID endeavors to confirm that the product ordered is ready for delivery. In most instances, we will alert you if a product is out of stock before finalizing your order. Nevertheless, please acknowledge that sometimes this might be unfeasible, and we might have to decline an order you've placed for a product if we ascertain it's genuinely out of stock. In such scenarios, we will promptly refund all amounts you disbursed for the unavailable product.

Product Pricing: We retain the right to adjust the prices on this platform at any given time, and prices are amendable until you have fully paid for the products.

Tax: Pro-ID will apply pertinent sales/use tax on orders as deemed necessary. The cumulative price of your order already includes any relevant tax.

Payment and Delivery of Order

Payment: The entire cost of your order and/or purchase will be showcased on the checkout page. Pro-ID requires payment in advance before processing your order, except if a different arrangement has been previously documented in writing. Payments can be facilitated through most leading credit or debit cards, and other online payment options presented to you during checkout. When opting to pay via a credit/debit card, it is imperative that you employ your card or another card you are authorized to use. All card users will undergo validation checks by third parties and authorization by the card provider. Should the card issuer decline authorization or if any other validation checks yield unfavorable results, Pro-ID will not accept your order. Furthermore, we will not bear responsibility for any ensuing delays or non-delivery, and we are under no obligation to clarify the reasons behind such refusal.

For those employing PayPal, please select the “PayPal” option during the payment stage. This will redirect you to the PayPal website. Existing PayPal users merely need to log in and approve the payment. If you don't possess a PayPal account, registration is straightforward, post which you can proceed with the payment.

Delivery of Order: Upon order placement, Pro-ID will acknowledge the order and dispatch products to the delivery address you've specified, adhering to your chosen delivery method. If Pro-ID has committed to delivering the Products, we will do so in the estimated delivery window. External factors beyond our control, such as adverse weather, unforeseen traffic delays, or mechanical issues, might impede timely delivery. Pro-ID is not accountable for any hold-ups or failures in delivery stemming from these uncontrollable events. If a product delivery faces setbacks, both parties will collaborate to determine a new delivery date.

Your proactive cooperation is essential for ensuring successful delivery on the scheduled date. If Pro-ID cannot execute the delivery due to factors attributed to you (e.g., absence at the designated location), a different delivery date will be set, and you may incur additional charges. Unless an alternative agreement exists, the recipient must sign upon product delivery. The delivery process concludes once the product reaches the specified delivery address.

Should your Product not arrive by the expected delivery date, it's essential to notify Pro-ID without delay.

Cancellation: To void an order, reach out to Pro-ID promptly. Any order that's left our facility and been handed to the shipping company will not be eligible for cancellation.

Your Account, Password, and Security

Potential users may need to register and maintain an account with Pro-ID to access certain services. This process might require inputting specific details at checkout. As a user, the registration process mandates that you furnish current, comprehensive, and accurate details as per the registration form's prompts. Users will also establish a password and a username.

The onus of safeguarding your password and account lies squarely on you. Moreover, you assume full responsibility for all activities stemming from your account. It is paramount to notify Pro-ID immediately if you suspect any unauthorized access or activity on your account. Pro-ID disclaims any responsibility for losses that might arise from unauthorized access to your account, regardless of whether it happened with your knowledge.

However, you could be held accountable for losses borne by Pro-ID or third parties owing to unauthorized use of your account or password. Unauthorized use of another individual's account, even sporadically, is prohibited unless there's express consent from the account owner. Pro-ID retains the right to decline service, revoke accounts, abrogate your access privileges, modify or eliminate content, or cancel orders at its discretion.

Termination of Your Usage

The stipulations of these Terms persist until either you or Pro-ID opt to terminate. You have the liberty to terminate these Terms by simply ceasing your access and use of our platform. Pro-ID, at its discretion, can terminate this Agreement or temporarily suspend your access to our platform without prior notice. This might be due to behaviors perceived as disruptive to our services, any breach of applicable laws, or any violations of these Terms.

User-Generated Feedback and Contributions

Throughout these terms, "User Generated Contribution" refers to any material, including but not limited to text, videos, audios, testimonials, feedback, or suggestions, which you upload or provide to our platform, possibly for public viewing. Be informed that such contributions are deemed neither confidential nor proprietary. By uploading or otherwise submitting any user communications to our platform, you acknowledge that you are granting Pro-ID a global, non-exclusive, irrevocable, royalty-free license to reproduce, utilize, distribute, and adapt such user-generated contributions across any current or future mediums.

This license also empowers Pro-ID with the rights to sub-license these rights and the capacity to enforce against any infringements. You affirm and state that you have legitimate rights to all content you provide on our platform, ensuring they're neither illegal nor infringing upon third-party rights, and are devoid of potential legal liabilities either towards you or Pro-ID.

Pro-ID has no obligations to oversee content uploaded by users or to expunge any User-Generated Contribution. However, we possess the exclusive privilege to assess and remove content at our discretion. Furthermore, Pro-ID can disclose any information if deemed essential for compliance with legal regulations or official requests, or to edit or decline postings in our judgment.

Pro-ID neither oversees nor endorses the messages in User Generated sections, and hence, we categorically waive any liabilities linked to them and any actions stemming from your interactions with such content.

Any delays or inactions by Pro-ID in exercising any rights under any breaches of these Terms should not be viewed as a waiver of those rights. Any waivers concerning any conditions, obligations, or agreements are not indicative of waivers for future breaches or other conditions.

Entire Agreement

The Terms present here signify the complete understanding between you and Pro-ID concerning the use of our platform, overshadowing all prior interactions, proposals, or communications, regardless of them being spoken or penned.
